Welcome to the website operated by Dockside Fuel Services, LLC, a Michigan limited liability company ("Dockside"). These Terms of Use (these "Terms") govern your access to and use of the website located at https://docksidefuelservices.com, together with the mobile applications, customer portal, registration tools, scheduling tools, content, and other online services that Dockside makes available and that link to or reference these Terms (collectively, the "Site"). These Terms apply whether you access the Site as a visitor, a registered user, a prospective customer, or an existing customer.

These Terms are entered into by and between you ("you" or "User") and Dockside. By accessing or using the Site, by clicking a button or checkbox indicating your acceptance, or by registering for an account or requesting any service through the Site, you accept and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, the Privacy Policy, or the Cookie Policy, you must not access or use the Site.

These Terms govern your use of the Site itself. The terms and conditions governing Dockside’s delivery of fuel and related services to customers are set forth in a separate Customer Service Agreement, which you will be asked to review and accept at the time of registration or first reservation. Dockside’s services are offered on a pay-as-you-go basis, with no subscription, no minimum commitment, and no automatic renewal, as more fully described in the Customer Service Agreement. In the event of any conflict between these Terms and the Customer Service Agreement with respect to the provision of fuel delivery services, the Customer Service Agreement controls.

The Site is offered and available only to users who are at least eighteen (18) years of age and who reside in the United States. By using the Site, you represent and warrant that you are of legal age to form a binding contract with Dockside and that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

1. Acceptance of the Terms of Use

These Terms constitute a legally binding agreement between you and Dockside. Please read these Terms carefully before you start using the Site. By accessing or using any portion of the Site, you accept and agree to be bound and abide by these Terms. Your access to and use of the Site is conditioned on your acceptance of and compliance with these Terms.

2. Changes to the Terms of Use

Dockside may revise and update these Terms from time to time in its sole discretion to reflect changes to the Site, changes in applicable law, regulatory developments, technology, or business practices. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Where a change is material, Dockside will use commercially reasonable efforts to provide additional notice, such as by email, in-app notification, or a banner on the Site. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those revised Terms. You are expected to check this page periodically so that you are aware of any changes, as they are binding on you.

3. Accessing the Site and Account Security

3.1 Right to Withdraw or Amend the Site

Dockside reserves the right to withdraw, suspend, or amend the Site, or any service, feature, or content provided on or through the Site, in its sole discretion and without notice. Dockside will not be liable if, for any reason, all or any portion of the Site is unavailable at any time or for any period. From time to time, Dockside may restrict access to some parts of the Site, or the entire Site, to users, including registered customers.

3.2 Your Responsibilities

You are responsible for: (a) making all arrangements necessary for you to have access to the Site, including obtaining and maintaining all telecommunications, broadband, computer hardware, and mobile device equipment, and paying all service fees associated with such access; and (b) ensuring that all persons who access the Site through your internet connection or your account are aware of these Terms and comply with them.

3.3 Registration and Account Information

To access certain features of the Site, including the customer portal, the reservation system, the referral program, and the "Add Your Lake" feature, you may be required to register and create an account with Dockside. It is a condition of your use of the Site that all information you provide on or through the Site, whether at the time of registration, in connection with a reservation, or otherwise, is correct, current, and complete. You agree that all information you provide is governed by our Privacy Policy, and you consent to all actions taken by Dockside with respect to such information consistent with the Privacy Policy.

3.4 Account Security

If you choose, or are provided with, a username, password, or any other piece of information as part of Dockside’s security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You acknowledge that your account is personal to you and agree not to provide any other person with access to the Site, or portions of it, using your username, password, or other security information. You agree to notify Dockside immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer or mobile device.

3.5 Right to Disable Accounts

Dockside has the right to disable any username, password, or other identifier, whether chosen by you or provided by Dockside, at any time in its sole discretion for any or no reason, including if, in Dockside’s opinion, you have violated any provision of these Terms, the Customer Service Agreement, or applicable law.

4. Customer Portal, Reservations, and Referral Program

4.1 Customer Portal

The customer portal accessible through the Site allows registered customers to manage their account information, payment profiles, service locations, vehicles, vessels, reservations, and service history. The customer portal is provided as a convenience and is made available subject to these Terms, the Customer Service Agreement, and the Privacy Policy.

4.2 Reservations and Delivery Requests; Pay-As-You-Go

Dockside’s services are offered on a pay-as-you-go basis. There is no subscription term, no minimum commitment, and no automatic renewal. Reservation requests and delivery requests submitted through the Site are not binding on Dockside until Dockside has accepted and confirmed them. Dockside reserves the right, in its sole discretion, to refuse, suspend, or cancel any reservation or delivery request for any reason, including without limitation suspected violation of these Terms, the Customer Service Agreement, applicable law, or any safety, route, weather, or operational concern. The terms and conditions governing each delivery, including fuel quality, pricing, payment, fees, safety obligations, and customer responsibilities, are set forth in the Customer Service Agreement.

4.3 Payment and Charges

All charges, including per-gallon fuel charges, delivery fees, applicable taxes, and any other fees, are payable in accordance with the Customer Service Agreement and the pricing posted on the Site at the time of your reservation. You agree to honor your payment obligations and agree that Dockside may store your payment information in accordance with the Privacy Policy and applicable payment-card-industry standards. Dockside may, in its sole discretion, change pricing, fees, fuel surcharges, and other charges from time to time, and any such changes will be reflected on the Site in advance of your next reservation.

4.4 Referral Program

If Dockside offers a referral program through the Site, participation is voluntary and is subject to any program-specific terms and conditions posted by Dockside. Dockside reserves the right to modify, suspend, or terminate any referral program at any time, and to disqualify any participant who Dockside believes, in its sole discretion, has engaged in fraudulent, abusive, or otherwise improper conduct in connection with the program.

4.5 "Add Your Lake" and Service Area Requests

The Site permits you to submit suggestions for additional lakes, communities, or service areas. By submitting an "Add Your Lake" request or similar service-area request, you acknowledge that Dockside has no obligation to act on, respond to, or expand service to any location, and any decision to do so is made in Dockside’s sole discretion. All such submissions are considered non-confidential and shall be treated as User Contributions under Section 8.

5. Electronic Communications and Notices

When you use the Site, register for an account, or communicate with Dockside electronically, you consent to receive communications from Dockside electronically. Dockside will communicate with you by email, by text message (where you have provided a mobile telephone number and, where required, consent), by in-app notification, by notice posted on the Site, or by other electronic means. You agree that all agreements, notices, disclosures, receipts, invoices, and other communications that Dockside provides to you electronically satisfy any legal requirement that such communications be in writing. You are responsible for any messaging, data, or wireless carrier fees that may apply to communications you receive. Standard message and data rates may apply. Additional information about text message communications, including how to opt out, is set forth in the Privacy Policy.

6. Intellectual Property Rights

6.1 Ownership of the Site

The Site and its entire contents, features, and functionality (including but not limited to all information, software, source code, object code, text, displays, images, photographs, video, audio, route data, designs, logos, the selection and arrangement thereof, and any other materials made available on or through the Site, collectively, the "Site Content") are owned by Dockside, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property and proprietary rights laws.

6.2 Limited License

Subject to your compliance with these Terms, Dockside grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial use, and, if you are a Dockside customer, for the purpose of managing your account, requesting and tracking deliveries, and otherwise using the Services. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Site Content, except as expressly permitted by these Terms or with Dockside’s prior written consent.

6.3 Restrictions

You must not: (a) modify copies of any materials from the Site; (b) use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text; (c) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site; or (d) access or use any portion of the Site Content for any commercial purpose not expressly authorized by Dockside in writing. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at Dockside’s option, return or destroy any copies of the Site Content you have made.

6.4 Trademarks

The Dockside name, the Dockside logo, the names "Dockside Fuel Services" and "Dockside Fuel Service," and all related names, marks, logos, product and service names, designs, and slogans are trademarks of Dockside or its affiliates or licensors. You must not use such marks without the prior written permission of Dockside. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

7. Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation, including without limitation any laws regarding the export of data or software to and from the United States or other countries, any motor-fuel tax, environmental, fire safety, or marine safety laws, or the laws of the State of Michigan;
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in Section 9 of these Terms;
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation;
  • To impersonate or attempt to impersonate Dockside, a Dockside employee, contractor, or driver, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing);
  • To submit false, inaccurate, or misleading information in any registration, reservation, vehicle or vessel information, payment information, review, or other submission to the Site;
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by Dockside, may harm Dockside or users of the Site or expose them to liability;
  • To use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site;
  • To use any robot, spider, scraper, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site;
  • To use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without Dockside’s prior written consent;
  • To reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive the source code for any software or technology made available through the Site, except to the extent such restriction is prohibited by applicable law;
  • To override any security feature or bypass or circumvent any access controls or use limits of the Site;
  • To introduce any viruses, Trojan horses, worms, logic bombs, ransomware, or other material that is malicious or technologically harmful;
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, any server on which the Site is stored, or any server, computer, or database connected to the Site, including without limitation the admin portal, team portal, and any back-end administrative interfaces;
  • To attack the Site via a denial-of-service attack or a distributed denial-of-service attack; or
  • To otherwise attempt to interfere with the proper working of the Site.

8. User Contributions

8.1 User Contributions

The Site may, from time to time, contain customer review features, comment fields, blog interactions, "Add Your Lake" submissions, referral submissions, photo uploads, registration chat interactions, ratings, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit content or materials to Dockside or other users (collectively, "User Contributions"). All User Contributions must comply with the Content Standards set out in Section 9.

8.2 Non-Confidential; License Grant

Any User Contribution you submit to or through the Site will be considered non-confidential and non-proprietary. By providing any User Contribution on or through the Site, you grant Dockside and its affiliates and service providers, and each of their and Dockside’s respective licensees, successors, and assigns, a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such User Contribution for any purpose, including without limitation marketing and promotional purposes, in any media now known or hereafter developed, without any further consent, notice, or compensation to you or any other person.

8.3 Representations

You represent and warrant that: (a) you own or control all rights in and to your User Contributions and have the right to grant the license granted above to Dockside and its affiliates and service providers; and (b) all of your User Contributions do and will comply with these Terms.

8.4 Responsibility for User Contributions

You understand and acknowledge that you are responsible for any User Contributions you submit, and you, not Dockside, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. Dockside is not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user.

9. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms;
  • Be likely to deceive any person, including without limitation by misrepresenting the existence, condition, location, or specifications of any vehicle or vessel;
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act, including the unsafe handling, storage, or transportation of fuel;
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization, including without limitation Dockside or a Dockside employee, contractor, or driver;
  • Involve commercial activities or sales, such as contests, sweepstakes, or other sales promotions, barter, or advertising not authorized by Dockside; or
  • Give the impression that they emanate from or are endorsed by Dockside or any other person or entity, if this is not the case.

10. Monitoring and Enforcement; Termination

10.1 Right to Monitor and Enforce

Dockside has the right, but not the obligation, to: (a) remove or refuse to post any User Contribution for any or no reason in its sole discretion; (b) take any action with respect to any User Contribution that Dockside deems necessary or appropriate in its sole discretion, including if Dockside believes such User Contribution violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of any person, or could create liability for Dockside; (c) disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy; (d) take appropriate legal action, including without limitation referral to law enforcement, for any illegal or unauthorized use of the Site; and (e) terminate or suspend your access to all or part of the Site for any or no reason, including without limitation any violation of these Terms or the Customer Service Agreement.

10.2 Cooperation with Authorities

Without limiting the foregoing, Dockside has the right to cooperate fully with any law enforcement authorities or court order requesting or directing Dockside to disclose the identity or other information of anyone posting any materials on or through the Site, registering for an account, or otherwise using the Services. YOU WAIVE AND HOLD HARMLESS DOCKSIDE AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER DOCKSIDE OR LAW ENFORCEMENT AUTHORITIES.

10.3 No Pre-Screening; No Liability for Failure to Remove

Dockside cannot review all material before it is posted on the Site and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, Dockside assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Dockside has no liability or responsibility to anyone for performance or nonperformance of the activities described in this Section 10.

10.4 Effect of Termination

Upon any termination of your right to use the Site, you must immediately cease all use of the Site and destroy all copies of any Site Content you have downloaded or otherwise obtained. Dockside’s rights with respect to User Contributions, the limitation of liability, indemnification, governing law, dispute resolution, and any other provisions that by their nature are intended to survive termination shall survive.

11. Reliance on Information Posted

The information presented on or through the Site is made available solely for general information purposes. While Dockside endeavors to keep information about pricing, fuel products, service areas, delivery schedules, route availability, and related matters reasonably current, Dockside does not warrant the accuracy, completeness, or usefulness of any such information. Any reliance you place on such information is strictly at your own risk. Dockside disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Site, or by anyone who may be informed of any of its contents.

The Site may include content provided by third parties, including materials provided by other users, lake associations, marinas, bloggers, and third-party licensors, syndicators, aggregators, weather and route data providers, and reporting services. All statements and opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Dockside, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Dockside. Dockside is not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

12. Third-Party Links and Services

If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, sponsored links, and links to payment processors, mapping providers, weather services, and other third-party service providers. Dockside has no control over the contents of those sites or resources, and accepts no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Site, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

13. Geographic Restrictions

Dockside is based in the State of Michigan in the United States. Dockside provides the Site for use only by persons located in the United States, and Dockside provides fuel delivery services only within the published service areas in Michigan. Dockside makes no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to the Site may not be legal by certain persons or in certain countries. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

14. Privacy and Cookies

All information that Dockside collects on or through the Site is subject to the Dockside Privacy Policy and the Dockside Cookie Policy. By using the Site, you consent to all actions taken by Dockside with respect to your information in compliance with the Privacy Policy and the Cookie Policy.

15. Disclaimer of Warranties

You understand that Dockside cannot and does not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to the Site for any reconstruction of any lost data.

TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, DOCKSIDE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, NEITHER DOCKSIDE NOR ANYONE ASSOCIATED WITH DOCKSIDE REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, DOCKSIDE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. ANY WARRANTIES RELATING TO FUEL DELIVERED BY DOCKSIDE ARE LIMITED TO THE WARRANTIES SET FORTH IN THE CUSTOMER SERVICE AGREEMENT.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, IN NO EVENT WILL DOCKSIDE, ITS AFFILIATES, OR THEIR RESPECTIVE LICENSORS, SERVICE PROVIDERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OFFICERS, CONTRACTORS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, DOCKSIDE’S AND ITS AFFILIATES’ AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THESE TERMS AND YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO DOCKSIDE FOR SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). LIABILITY ARISING OUT OF THE PROVISION OF FUEL OR DELIVERY SERVICES IS ADDITIONALLY GOVERNED BY, AND SUBJECT TO THE LIMITATIONS SET FORTH IN, THE CUSTOMER SERVICE AGREEMENT.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Dockside, its affiliates, licensors, and service providers, and its and their respective members, managers, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site, including, but not limited to, your User Contributions, any use of the Site Content, or services other than as expressly authorized in these Terms, or your use of any information obtained from the Site; (c) any misrepresentation made by you in your registration, account information, vehicle or vessel information, payment information, or User Contributions; or (d) your violation of any rights of another, including any intellectual property, privacy, or proprietary right.

18. Governing Law and Jurisdiction

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Michigan, without giving effect to any choice or conflict of law provision or rule (whether of the State of Michigan or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively as follows: (a) for disputes in which the amount in controversy does not exceed seven thousand dollars ($7,000.00), the Small Claims Division of the 8th District Court for the County of Kalamazoo, Michigan; (b) for disputes in which the amount in controversy exceeds seven thousand dollars ($7,000.00) but does not exceed twenty-five thousand dollars ($25,000.00), the 8th District Court for the County of Kalamazoo, Michigan; and (c) for disputes in which the amount in controversy exceeds twenty-five thousand dollars ($25,000.00), the Circuit Court for the County of Kent, Michigan. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Notwithstanding the foregoing, Dockside may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

19. Class Action Waiver and Jury Trial Waiver

YOU AND DOCKSIDE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN SUCH PARTY’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING. NO COURT MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND NO COURT MAY PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE. YOU FURTHER WAIVE ANY RIGHT TO SERVE AS A PRIVATE ATTORNEY GENERAL OR IN ANY OTHER REPRESENTATIVE CAPACITY ON BEHALF OF OTHER USERS OR THE GENERAL PUBLIC. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE WITH RESPECT TO ANY DISPUTE OR ANY PORTION THEREOF, THEN AS TO SUCH DISPUTE OR PORTION THEREOF, THE PARTIES AGREE THAT IT SHALL NEVERTHELESS BE LITIGATED ONLY IN THE COURTS DESIGNATED IN SECTION 18 AND ONLY ON AN INDIVIDUAL BASIS TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY JUDICIAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

20. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. THE PARTIES ACKNOWLEDGE THAT THIS PROVISION CONSTITUTES A KNOWING AND VOLUNTARY ABBREVIATION OF THE OTHERWISE APPLICABLE STATUTE OF LIMITATIONS UNDER MICHIGAN LAW.

21. Waiver and Severability

21.1 No Waiver

No waiver by Dockside of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dockside to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

21.2 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

22. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without Dockside’s prior written consent, and any attempted assignment in violation hereof shall be void. Dockside may assign these Terms, in whole or in part, at any time, with or without notice to you, including in connection with any merger, acquisition, financing, reorganization, bankruptcy, or sale of all or substantially all of Dockside’s assets.

23. Entire Agreement

These Terms, together with the Privacy Policy, the Cookie Policy, the Customer Service Agreement, and any other terms or policies expressly incorporated by reference, constitute the sole and entire agreement between you and Dockside regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site. In the event of any conflict between these Terms and any other document, the following order of precedence shall apply: (a) the Customer Service Agreement with respect to fuel delivery services; (b) these Terms with respect to use of the Site; and (c) the Privacy Policy and Cookie Policy with respect to information collection and use.
